1. Introduction

Welcome to Arbor (“Arbor,” “we,” “us,” or “our”). By accessing or using our services, including our website at arbormoney.co and associated applications (collectively, the “Services”), you agree to comply with and be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, please refrain from using our Services.

Arbor Financial, Inc. is a financial technology company, not a bank. Banking-like services may be provided through stablecoins, licensed partners, and on-chain protocols as described in these Terms and on our website.

2. Eligibility

To use our Services, you must be at least 18 years old and capable of entering into a legally binding agreement. By using our Services, you represent and warrant that you meet these eligibility requirements and that you are not prohibited from using the Services under applicable law.

3. Services Overview

Arbor provides a global treasury account that helps users save, earn yield, and move money on-chain. Our Services may include:

  • High-yield savings: Routing user funds to decentralized lending and vault protocols to pursue competitive yields compared with traditional savings products.
  • Transparency: Allowing users to track balances and activity on the blockchain where applicable.
  • Control: Providing users with the ability to deposit, withdraw, send, and receive supported assets subject to operational, network, and partner constraints.
  • Rate optimization: Helping users access yield opportunities across supported on-chain sources, which may change over time.

Availability of specific features may vary by jurisdiction and is subject to regulatory approval, partner support, and your account status.

4. Account Registration

To access certain features of our Services, you may need to create an account. When registering, you agree to:

  • Provide accurate and complete information.
  • Maintain and promptly update your information.
  • Keep your login credentials and wallet access confidential.
  • Notify us immediately of any unauthorized use of your account.

You are responsible for all activities that occur under your account, including activity initiated through your connected wallet or authentication provider.

5. Use of Services

By using our Services, you agree to:

  • Use the Services only for lawful purposes.
  • Not engage in any activity that could harm, disrupt, or interfere with the Services.
  • Comply with all applicable laws, regulations, and sanctions requirements.
  • Not use the Services to transmit or store illicit funds or to evade legal obligations.

6. Financial Transactions

All financial transactions facilitated through our Services are subject to the following terms:

  • Deposits and withdrawals: You may deposit supported assets into your account and withdraw them subject to our operational procedures, on-chain conditions, liquidity, and partner requirements.
  • Interest and yield: Rates are variable and depend on underlying markets, vaults, and protocol conditions. While we strive to provide competitive rates, we do not guarantee any specific return on your funds.
  • Stablecoins and networks: Arbor currently supports USDC on Base for core receive and savings flows unless otherwise stated in the product. Sending unsupported assets or using unsupported networks may result in permanent loss of funds.
  • Risks: Engaging in on-chain savings and lending involves risks, including smart contract risk, market risk, liquidity risk, and potential loss of principal. Funds are not insured by the Federal Deposit Insurance Corporation (FDIC), the Securities Investor Protection Corporation (SIPC), or any other governmental agency. You acknowledge and accept these risks by using our Services.

7. Fund Holds and Fees

In connection with deposits, transfers, and withdrawals, the following terms apply:

  • Fraud and compliance review: We and our partners reserve the right to hold, delay, or reject transfers, including bank transfers, card payments, ACH transfers, and on-chain movements, if we suspect fraudulent activity, money laundering, sanctions exposure, or other compliance concerns. Such holds may remain in place pending investigation and resolution.
  • Partner and network fees: Third-party providers may charge fees for payment processing, on-ramps, off-ramps, blockchain transactions, or custody services. You are responsible for applicable network gas fees and any disclosed partner fees.
  • Large-value orchestration: For certain high-value deposits or transfers facilitated through our payment partners, we reserve the right to assess an orchestration or processing fee and to withhold funds until any outstanding fee balance is paid in full, where permitted by law and disclosed to you.

8. Third-Party Services

Our Services integrate with third-party platforms and protocols. Examples may include, without limitation:

  • Morpho and Aave: On-chain lending and vault protocols that manage supply, withdrawal, and yield for supported assets.
  • Base: The blockchain network on which supported transactions may settle.
  • Circle: Issuer of USDC and related infrastructure used in supported payment flows.
  • Privy: Authentication, embedded wallet, and funding infrastructure that may facilitate account access and on-ramp experiences.
  • Licensed partners: Providers of virtual accounts, payment cards, custody, and on/off ramp services where available.

Your use of these third-party services is subject to their respective terms, policies, and technical limitations. We are not responsible for the actions, omissions, outages, or policy changes of these third parties. When using a partner service through Arbor, you agree to comply with both these Terms and the partner's applicable terms of service and privacy policy.

9. Security

We implement security measures designed to protect your information and account access. However, we cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your account information, authentication methods, and wallet credentials, and for all activities that occur under your account.

10. Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information. By using our Services, you consent to the practices described in our Privacy Policy.

11. Intellectual Property

All content, features, and functionality available through our Services, including but not limited to text, graphics, logos, and software, are the property of Arbor Financial, Inc. or its licensors and are protected by intellectual property laws. You agree not to reproduce, distribute, or create derivative works from any content without our express written permission.

12. Termination

We reserve the right to suspend or terminate your access to our Services at our sole discretion, with or without notice, for conduct that we believe violates these Terms, poses a compliance or security risk, or is harmful to other users, us, or third parties.

13. Disclaimers and Limitation of Liability

Our Services are provided on an “as-is” and “as-available” basis. We make no warranties, express or implied, regarding the Services, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the fullest extent permitted by law, Arbor Financial, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use the Services.
  • Any unauthorized access to or use of our servers and/or any personal information stored therein.
  • Any interruption or cessation of transmission to or from the Services.
  • Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services by any third party.
  • Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Services.
  • On-chain protocol failures, blockchain congestion, partner outages, or regulatory actions affecting supported assets or networks.

14. Indemnification

You agree to indemnify, defend, and hold harmless Arbor Financial, Inc., its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles, except where mandatory local law requires otherwise.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the “Last Updated” date below. You are advised to review these Terms periodically. Your continued use of the Services after changes are posted constitutes your acceptance of such changes.
